Ako Biotica Inc. provides computer systems design, computer integrated systems design, and professional technical services including enterprise system architecture, software and hardware integration, IT infrastructure assessment, technical project management, and managed operations support. Specific scope, deliverables, timelines, and fees are documented in separate service agreements or Statements of Work.
3. User Obligations
Users agree to provide accurate information, maintain confidentiality of credentials, use services in compliance with applicable laws, and refrain from any activity that disrupts our systems or infringes on the rights of others.
4. Intellectual Property
All content, materials, designs, code, documentation, and deliverables produced by Ako Biotica Inc. remain our intellectual property unless otherwise agreed in writing. Upon full payment, clients receive a license to use deliverables for their intended purpose. Nothing in these terms transfers ownership of our proprietary methodologies, frameworks, or tools.
5. Third-Party Services
Our website and services may reference third-party offerings. We do not endorse or assume responsibility for third-party products or services. Your interaction with any third party is governed by their respective terms.
6. Disclaimers
Our services and website are provided on an as-is and as-available basis. Ako Biotica Inc. makes no representations or warranties of any kind, express or implied, regarding the operation of our services or the information, content, or materials included. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
Ako Biotica Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability for any claim shall not exceed the fees paid by you for the specific service giving rise to the claim during the six-month period preceding the event.
8. Termination
Either party may terminate a service engagement in accordance with the applicable service agreement. We reserve the right to suspend or terminate access to our website or services if you violate these terms. Provisions regarding intellectual property, disclaimers, liability, and governing law shall survive termination.
9. Governing Law
These Terms of Service shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Alberta.
10. Dispute Resolution
Any dispute shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding mediation under the rules of the ADR Institute of Canada before resorting to litigation. Each party bears its own mediation costs.
11. Changes to Terms
We reserve the right to modify these terms at any time. Changes are posted on this page with an updated effective date. Continued use after modifications constitutes acceptance of updated terms.
